Douglas F. MacLean is the Managing Member of Armor Law Group located in the financial district of Boston, Massachusetts.
Mr. MacLean has been an attorney in Boston and New York City for 11 years and has worked at the international law firms of Bingham McCutchen,
K&L Gates and Latham & Watkins.
He has counseled onshore and offshore private equity funds, hedge funds, real estate funds, venture capital funds, carbon-trading funds,
timber funds, PIPE funds, and funds-of-funds on formation, structure, compliance, marketing and reorganizations. In addition, he has worked
with unregistered and registered investment advisers of open- and closed-end registered investment companies, managed accounts, and various
private funds regarding formation, taxation, registration, advertising, broker-dealer distribution, AIMR-PPS/GIPS Standards and SEC/SRO/CFTC
compliance. Mr. MacLean also has advised open- and closed-end registered investment companies regarding formation, registration, reorganizations,
proxy solicitations and compliance.
Mr. MacLean also has experience negotiating venture capital and private equity investments on behalf of operating companies. In addition, he has
represented real estate developers, landlord, tenants and investors in a wide variety of real estate transactions.
Mr. MacLean also serves as the Managing Member of Armor Compliance, a comprehensive compliance consulting firm which provides the services of
a Chief Compliance Officer for investment advisers to private equity funds and hedge funds
(www.armorcompliance.com). In addition, Mr. MacLean is the Managing Member of Counsel Realty
(www.counselrealty.com), a sophisticated real estate brokerage firm for buyers and sellers who want to work with a savvy real estate broker who
is also an experienced real estate attorney and has personally invested in real estate.
Mr. MacLean graduated cum laude from Harvard College in 1994 and graduated from Cornell University in 2000 with a J.D. from Cornell Law School and
an M.B.A. from the Johnson Graduate School of Management. He has also served as a business law professor at Tufts University, is a CFA candidate
and has passed the Series 7, 39, 63 and 65 examinations. Mr. MacLean was also recognized as a 2009, 2010, and 2011 New England Rising Star by New
England Super Lawyers Magazine. In his free time, he enjoys spending time with his wife and their four young children and recently completed his
38th marathon during which he raised money for the Greater Boston Food Bank.
